These Terms of Service ("Terms") govern your access to and use of the website at pdconsults.com.au ("Site") and any services, tools, assessments, or content provided by pdconsults. ("Services").
By accessing the Site or using any of our Services, you agree to be bound by these Terms. If you do not agree, please do not use the Site or Services.
2. Services
pdconsults. provides AI strategy consulting, implementation services, workflow design, reporting systems, and related digital services for businesses. Our Services include but are not limited to:
• AI Readiness Assessment — a free online questionnaire that provides a personalised readiness score and recommendations.
• AI Audit — an automated analysis of a website's AI readiness, delivered via email.
• Chat Assistant — an AI-powered conversational tool on our Site that helps visitors understand our services.
• Consulting Engagements — advisory sessions, clarity audits, implementation projects, and retainer arrangements, governed by separate engagement agreements.
Free tools (assessments, audits, chat) are provided as-is for informational purposes. They do not constitute professional advice and should not be relied upon as a substitute for qualified consultation.
3. Accounts and Registration
Certain features of the Site may require you to provide personal information such as your name, email address, and business name. By providing this information you represent that:
• The information you provide is accurate and current.
• You have the authority to provide this information on behalf of your business (if applicable).

We do not currently require account registration. If we introduce accounts in the future, additional terms may apply.

Assessment and audit results generated for you are provided for your personal or internal business use only. You may share your results within your organisation but may not republish, resell, or redistribute them commercially.
Client deliverables produced as part of a paid consulting engagement are governed by the terms of that specific engagement agreement.
6. AI-Generated Content
Our Site uses artificial intelligence technologies (including products from OpenAI, Anthropic, and Google) to power certain features, including our chat assistant, audit reports, and assessment recommendations.
You acknowledge that:
• AI-generated content is provided for informational purposes and may contain errors or inaccuracies.
• AI-generated recommendations do not constitute professional, legal, financial, or technical advice.
• You should independently verify any AI-generated information before making business decisions based on it.
• We do not guarantee the accuracy, completeness, or reliability of AI-generated content.
7. Limitation of Liability
To the maximum extent permitted by law:
• The Site and Services are provided "as is" and "as available" without warranties of any kind, whether express or implied.
• pdconsults. does not warrant that the Site will be uninterrupted, error-free, or free of viruses or other harmful components.
• pdconsults. shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or related to your use of the Site or Services.
• Our total liability for any claim arising from these Terms or your use of the Services shall not exceed the amount you paid to pdconsults. in the twelve (12) months preceding the claim, or AUD $100, whichever is greater.
Nothing in these Terms excludes or limits liability that cannot be excluded or limited under Australian Consumer Law.
8. Indemnification
You agree to indemnify, defend, and hold harmless pdconsults., its owner, contractors, and affiliates from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or in any way connected with:

• Your breach of these Terms.
• Your violation of any applicable law or regulation.
• Any content or information you submit through the Site.

10. Consulting Engagements
Paid consulting services (audits, implementation projects, advisory retainers, and other engagements) are governed by separate engagement agreements or proposals that are agreed upon before work commences.
In the event of any conflict between these Terms and a specific engagement agreement, the engagement agreement shall prevail for the scope of that engagement.
11. Termination
We may suspend or terminate your access to the Site or Services at any time, without prior notice, for conduct that we believe violates these Terms or is harmful to other users, us, or third parties.
Upon termination, all provisions of these Terms which by their nature should survive will survive, including intellectual property provisions, warranty disclaimers, indemnification, and limitations of liability.
12. Governing Law
These Terms are governed by and construed in accordance with the laws of New South Wales, Australia. You agree to submit to the exclusive jurisdiction of the courts of New South Wales for the resolution of any disputes arising from these Terms or your use of the Site.
